These Terms of Service ("Terms") govern the relationship between ngugicreations ("we," "us," or "our") and the client ("you" or "your") regarding the provision of IT services. By engaging our services, you agree to these Terms in their entirety.

ngugicreations provides various IT services including but not limited to:

  • Web design and development
  • Software development
  • Server maintenance
  • Email solutions
  • SEO services
  • IT consultations
  • Web redesign and maintenance

The specific scope, deliverables, timeline, and cost of services will be detailed in a separate Statement of Work (SOW) or service agreement provided to you.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Review and provide feedback on deliverables in a timely manner
  • Make payments according to the agreed schedule
  • Obtain any necessary third-party permissions or licenses required for your project
  • Comply with all applicable laws and regulations

4. Project Timeline and Deliverables

We will make reasonable efforts to meet the agreed-upon timeline for deliverables. However, timelines may be adjusted due to:

  • Changes in project scope
  • Delays in receiving client feedback or required materials
  • Unforeseen technical challenges
  • Force majeure events

5. Payment Terms

Payment terms will be specified in your individual service agreement or SOW. Generally:

  • A deposit is required before work commences
  • Milestone payments may be required for larger projects
  • Final payment is due upon project completion
  • Late payments may incur additional fees

6. Revisions and Changes

The number of revisions included in your project will be specified in your service agreement. Additional revisions or changes to the project scope may incur additional charges and affect the project timeline.

7. Confidentiality

We will maintain the confidentiality of any proprietary information shared during the course of our engagement. Similarly, you agree to keep confidential any proprietary information we share regarding our methods and processes.

8. Termination

Either party may terminate the service agreement with written notice if:

  • The other party breaches a material term of the agreement
  • As otherwise specified in the individual service agreement

Upon termination, you will be responsible for payment for all services rendered up to the termination date.

9. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business results from our services.
